Strukton Civiel bv and Rasenberg Holding bv signed a letter of intent on 14 May 2012 regarding the proposed takeover of Rasenberg’s infrastructural activities. The parties expect to be able to sign a definitive agreement within a few months.
The activities being taken over come from Rasenberg Wegenbouw bv (road construction and asphalt production), Rasenberg Verkeer & Mobiliteit bv (dynamic traffic management), Reanco bv (noise barrier facilities), R.O.B. bv (recycling and storage, Breda) and associated holdings in Van Rens bv (traffic technology) and R.O.S. bv (recycling and storage, Schiedam). These will become a separate operating unit within Strukton Civiel.
The aim is to be able to sign a definitive agreement within a few months. Final completion of the transaction is anticipated to take place in the middle of this year. This depends on a variety of factors such as the workers’ councils, the results of discussions with the unions, and the notification process with the Dutch competition authority.
The takeover of Rasenberg’s infrastructure activities is in line with the strategic development of Strukton Civiel towards national coverage for its road construction activities. This takeover allows Strukton Civiel to strengthen its regional position as well as its position in large, integrated infrastructural contracts and chain integration.
Cornerstone Partners is acting as the financial adviser to Rasenberg Holding bv.
